A Comparative Analytical Study on the Legal Nature of Contractual Interdependence in the New French and Iranian Law

When multiple contracts are concluded collectively to achieve a single overarching objective, they effectively constitute a contractual ensemble. Logically, it follows that the performance of any individual contract impacts the viability of the others. However, this reasoning may appear counterintuitive and, in practice, creates numerous issues regarding legal certainty. Conversely, no legal framework has historically allowed for the systematic regulation of such interrelated contracts or for establishing a dynamic legal relationship among them. This emerging legal phenomenon necessitates a novel conceptual approach. Accordingly, the notion of contractual connection and interdependence appears particularly appropriate. This concept emphasizes the relational aspect of contracts without focusing on reciprocal consideration between them. The theory offers a new perspective by drawing a subtle distinction between the relative effects of contracts and the enforceability of legal acts vis-à-vis third parties. Using a descriptive-analytical methodology and drawing on the new French legal framework, this study examines the concept and legal effects of interrelated contracts and explores its relevance and potential application within Iranian law.
